The following Service Agreement (the “Agreement”) clearly communicates our expectations in working together. If you have any questions, please raise them before signing to ensure we are all on the same page moving forward.
In exchange for agreeing to work together with NOVA RESET, you agree to be bound by the following conditions.
Contractual Terms
Section 1
1. Parties. This Agreement is made between Baseline Collective LLC, a Limited Liability Company operating in the State of New York (“NOVA RESET,” “we,” “us,” and “our”) and you, the undersigned (electronically or by hand) or person who has clicked “I Agree” (or something similar) to this Agreement (“you” and “your”).

2. Our Commitment to You. We promise to provide you with wellness and recovery services, as outlined in Schedule “A” Services (the “Services”). To provide the best possible experience, we will also do the following:
2.1. It is our goal to help you achieve and exceed your personal wellness goals. With this in mind, we will strive to provide you with the highest quality wellness and recovery Services to exceed your expectations.
2.2. Our one-on-one programs will be customized to your unique individual needs, goals and abilities, while group programs will take into consideration the current level and general fitness profiles of registered participants.
2.3. Communication is important to us, so we will do our best to clearly communicate with you about any preparation instructions, follow-up information or scheduling details related to your Services.
2.4. From the moment you walk through our doors, you will enter a clean, welcoming, and calming environment thoughtfully designed to help you disconnect from daily stress, slow down, and recharge.
2.5. Our team offers guidance without pressure and support without judgment, ensuring you feel valued within a positive and encouraging community.
2.6. We are dedicated to providing an exceptional environment that helps you feel your best. We stand fully behind our studio experience, which is why eligible memberships and certain promotions include our signature “Leave Feeling Better or it's Free” guarantee. Consult Schedule B for details and eligibility.
Section 3
3. Qualifications. We hold the following professional qualifications and certifications: Bachelor of Science in Communication Management and Design (B.S.), Minor in Women's Studies and ReWild Trauma-Aware Functional Breathwork Certification.
Section 4
4. Scope of Practice. The scope of our practice is as follows:
4.1. Here is what we will be doing together: We provide immersive wellness experiences designed to help you relax, recover, and support your overall well-being in a welcoming environment. We educate, guide, and encourage you while empowering you to make informed decisions about your own health and lifestyle. Within this scope, we offer:
- Infrared Sauna: Supports relaxation, circulation, and recovery.
- Cold Exposure: Supports stress resilience, mental clarity and post-exercise recovery.
- Red Light Therapy: Supports cellular function, skin wellness and overall vitality.
- Compression Therapy: Supports circulation, lymphatic movement and muscle recovery.
- Vibroacoustic Experiences: Combines sound and vibration to promote relaxation, nervous system regulation, and stress relief.
- Wellness Classes: Encourages active movement, mindfulness, and healthy lifestyle habits.
- Client Education: Provides educational resources to support informed wellness and self-care decisions.
4.2. Here is what we will not be doing together: We do not diagnose, treat, or cure any medical, physical, or mental health conditions, nor do we provide medical advice, physical therapy, chiropractic care, psychotherapy, or other licensed healthcare services. Our services and information are intended strictly for general wellness and are not a substitute for professional medical care. You are encouraged to consult your healthcare provider regarding any specific health concerns.
Section 5
5. What We Expect of You. Just as you are investing in us, we are also investing time and energy in you. For you to gain the most from the Services, here is what we expect of you:
5.1. Respect. We expect you to show kindness and respect to all staff, other participants, and everyone you interact with at NOVA RESET, helping us create a positive, welcoming community environment for everyone.
5.2. Time Integrity. We expect you to commit to your personal wellness by showing up on time to each scheduled session ready to participate, honoring your scheduled appointments, and communicating with us promptly if your plans change.
5.3. Ownership. You are responsible for your own physical, mental, and emotional well-being and actions during the course of the Services. We expect you to show up for yourself, listen to your body, and participate in a way that feels right for you.
5.4. Commitment. We expect you to be committed to the Services and to your practice, actively engaging in steps to improve your overall wellness journey.
5.5. Communication. We expect you to be upfront and honest about how your body works, what pains you have, and your medical history. We can’t help if we don’t know what you are experiencing!
5.6. Member Privacy & Mobile Device Policy. We want everyone at NOVA RESET to feel comfortable, relaxed, and fully respected. While mobile devices and personal photos are welcome in our community spaces, every guest's privacy always comes first. By using NOVA RESET facilities, you agree not to photograph, video, or record another guest or staff member without their express permission, to be mindful of who may appear in the background of your content, and to refrain from any photography or recording in restrooms, changing areas, saunas, cold plunge zones, or session rooms. Additionally, tripods, livestreaming, extended filming, or commercial content shoots require prior management approval, and all device calls and audio should be kept on silent or used with headphones to preserve our peaceful space; NOVA RESET kindly reserves the right to ask guests to adjust or pause mobile device use at any time to protect the comfort, privacy, and experience of our community.
Section 6
6. Term and Termination. The term of this Agreement will begin on the date of execution by both parties and will continue for the duration of the Services as agreed upon between you and NOVA RESET (the “Term”).
6.1. You may terminate this Agreement without any penalty or further obligation within three (3) business days after the date you receive a signed copy. NOVA RESET reserves the right to deduct any usage from your refund.
6.2. You (or your estate) may terminate this Agreement if you die or develop a significant physical disability, verified by a physician’s order, that prevents you from using our services for a period exceeding three (3) months.
6.3. Either party may terminate this Agreement at any time by providing 24 hours' advance written notice to the other party. However, if you terminate the Agreement before the Term is complete, you will be obligated to make all payments as outlined in Schedule “A” Services, except when you qualify for the guarantee in Schedule “B”.
6.4. You may terminate your membership using the same method as your signup. If unsure, please contact us via email. All terminations will be actioned within the terms of this agreement. Fees and penalties may apply.
6.5. NOVA RESET reserves the right to terminate this Agreement immediately if you violate any of the terms. In this case, you will not be eligible for any refund or a continued relationship with NOVA RESET.
Section 7
7. Payment. Payment details and cost for the Services are outlined in Schedule “A” Services.
7.1. Payment Method on File. You may elect to keep a payment method on file. By doing so, you authorize NOVA RESET’s staff to charge that method for any sessions, auto-debits or cancellation fees accrued in accordance with our policy.
7.2. Declined Charge. In the event of a declined charge or payment, your Services will be immediately suspended pending your updating your payment information and payment of the amount due in full.
7.3. Chargebacks. It is common for the bank or lender managing the chargeback dispute on your behalf to keep fees and administration costs, which result in a loss for NOVA RESET for the services already rendered. You will also be responsible for any fees and administration costs that are taken from us as a result of a chargeback issue that ends with a determination in favor of NOVA RESET.
Section 8
8. Fluctuation of Rates. You understand that we reserve the right to change our prices and that, by accepting these new prices and continuing to pay, you remain bound by all the terms of this Agreement. We will always provide at least 30 days' notice before raising any prices, and we will communicate with you to ensure you are aware of any changes.
Section 9
9. Cancellations and Refunds. Integrity and keeping your word are the cornerstones of all success. With that in mind, this is how we’ve drafted our cancellation and refund policy:
9.1. Refunds. All sales are final. Our Services are non-refundable, except where a specific refund or satisfaction guarantee is expressly stated in this Agreement or provided in writing at the time of purchase. Eligible annual members receive a full refund of their prepaid annual membership under Schedule “B”.
9.2. RESET Appointment Cancellation & Reschedule Policy. We understand plans change. Please cancel or reschedule your booked RESET at least two (2) hours before your appointment. A cancellation with less than two (2) hours’ notice, or a no-show, uses one RESET credit.
Section 10
10. No Guarantees. NOVA RESET cannot guarantee the success of, or any particular outcome from the Services. We promise to provide you with the opportunity and Services to support you and see you grow, but the success of the Services ultimately depends on you.
Section 11
11. Ownership of Materials. All the content that we have provided to you, including but not limited to videos, documents and PDFs, is for your use only and is not to be redistributed or reused.
Section 12
12. Media Release. We think you’re incredible and would love to share your journey! By participating in NOVA RESET sessions, events, or workshops, you grant NOVA RESET the right to use your image, likeness, and any video or audio recordings captured during your visits.
12.1. Testimonials & Feedback: If you share a "win," a kind word, or a testimonial with us, you agree that we can share that magic with our community to help inspire others.
12.2. Social Media & Privacy: If you post content from NOVA RESET to your public social media and tag us or use our hashtags, you grant us permission to re-post or share that content on our channels. We value your comfort—if there is ever a specific image or post you’d prefer we not use, just let us know; we will stop using it for future posts, though we cannot remove or retract content that has already been published.
12.3. Purpose & Release: We use this content for marketing, social media, and online promotion to share the resets and community energy that happen here. You release NOVA RESET from any claims or compensation relating to the use of this content.
Section 13
13. Damage to Equipment. You understand that you will be fully responsible for any damage you cause to any equipment we use at our facility, whether intentional or accidental.
Section 14
14. Substitute Services. NOVA RESET has the right to substitute services. This means that if we ever need to switch to online services or asynchronous virtual offerings due to circumstances beyond our control, we have the right to such a substitution for in-person classes.
Section 15
15. Legal Fees. You will be responsible for any and all legal fees incurred by NOVA RESET regarding any potential chargeback issues (for example, if you want to issue a chargeback or contest a payment).
Section 16
16. Waiver. Before the Services can begin, you must sign our Waiver and Release of Liability. Please read it and make sure you understand it. You must sign both the Waiver and Release of Liability to confirm that you understand and agree to them.
Section 17
17. Force Majeure. NOVA RESET will not be liable for any failure or delay regarding the Services if such failure or delay is: beyond the reasonable control of NOVA RESET, could not have been reasonably foreseen or provided against, or due to events such as a pandemic, natural disaster, or other Act of God. In such an event, you will not be entitled to any refunds or recovery.
Section 18
18. Arbitration. Any controversy or claim arising out of or relating to this agreement shall be settled exclusively by binding arbitration conducted in the State of New York or through such other arbitrator as mutually agreed upon by the parties. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction. The losing party shall bear the costs of arbitration. The arbitration award shall be final and binding upon the parties, and the parties hereby waive any rights to appeal or challenge the award, to the extent permitted by applicable law. This arbitration clause shall survive the termination or expiration of this agreement.
Section 19
19. Standard Legal Things. Choice of Laws and Venue. Courts of the State of New York retain the sole power to order arbitration, confirm any resulting award, or grant urgent relief related to the arbitration process. Severability. If any provisions of this Agreement are invalid or unenforceable, the other provisions in the Agreement will remain in full force and effect. Entire Agreement. This Agreement constitutes the entire Agreement between the parties and replaces any prior agreements. Waiver of Breach. The waiver by NOVA RESET of any breach by you of any provision of this Agreement will not be taken to be a waiver of any further breaches by you. Counterparts. This Agreement may be signed by any number of counterparts, each of which is an original, and all of which taken together constitute one single document. Online Agreement. We agree that this Agreement may be signed electronically or agreed to by having you click “I Agree” (or something similar), the effect of which will be the same as if we signed this Agreement by hand and the intention of which is that both parties desire to be bound by all the terms of this Agreement.

WHAT IS A RESET SESSION? A RESET Session includes 45–60 minutes of dedicated wellness and recovery time utilizing NOVA RESET's core experiences:

All five experiences are included as options within each membership RESET at no additional cost, subject to availability. The total RESET visit is up to 60 minutes, not 60 minutes per experience. Each visit is designed around your goals and available experiences at the time of your appointment. Our team will help guide you through a recommended RESET experience to help you get the most from your visit.

Schedule “B” Feel Better Or It’s Free Guarantee
Founding Member Guarantee
Joining something new takes a little faith—that’s why we put the risk on us, not you. Monthly Founding Memberships include a 3-month minimum commitment; annual Founding Memberships are prepaid for 12 months. Both are backed by our satisfaction guarantee:
- The Requirement: Complete at least four (4) RESETS within your first 30 days of membership.
- The Guarantee: If you complete your four RESETS during your first 30 days and do not feel NOVA RESET is making a meaningful, positive impact on your life, simply let us know in writing by Day 30.
- The Release for Monthly Members: Upon timely notice and verification of your visits, we will release you from the remaining balance of your initial commitment without an early cancellation penalty. Monthly payments already made are not refunded.
- The Refund for Annual Members: Upon timely notice and verification of your visits, we will cancel your annual membership and refund your full prepaid annual membership payment, without deducting the value of RESETS already used.
After Day 30, or if the four-RESET requirement is not met within the first 30 days, standard membership terms apply: monthly memberships remain subject to the 3-month minimum commitment and then continue month-to-month until terminated; annual memberships remain prepaid for their 12-month term.
